The transaction involved complex negotiations with key stakeholders, including major business group Alesayi Trading & Industrial Ltd. Co., and required extensive support in structuring, drafting, and executing the share purchase agreements and related corporate documentation. Initial Saudi Co. Ltd., with a workforce of approximately 10,000 employees, is a prominent service provider across sectors including facilities management, security, maintenance, pest control, and industrial support. MAK’s role in this matter was central in safeguarding the interests of the selling shareholders and ensuring full regulatory compliance throughout the mergers and acquisitions process.
   
   
2. MAK advised on the merger and acquisition between a leading Indonesian pharmaceutical company and a major Saudi pharmaceutical company, delivering creative legal solutions for the commercial and corporate structuring of a newly formed mixed-capital entity in Saudi Arabia.
   
   
3. MAK prepared and advised on a Sale and Purchase Agreement for the Arabian Aircraft Services Company “Arabasco” (one of the largest aircraft ground handling companies in Saudi Arabia) and an affiliate of Bin Laden Group in connection with the sale of shares in Arabasco to several purchasers. MAK also prepared and advised on the share-holder agreement in connection with managing Arabasco after the inclusion of the new partners.
   
   
4. MAK advised on the merger and acquisition of Raydan Restaurant Company International, which is a major Egyptian restaurant franchise chain and their local partners in Saudi Arabia.
   
   
5. MAK prepared and advised on Sale and Purchase Agreement and Share-Holder Agreement between a closed joint-stock company and an international fund to purchase 60% of the Saudi company with an approximate value of SAR 400 million.
   
   
6. MAK advised and represented a BVI company on a sale and purchase agreement for the acquisition of 30% of its share capital by several purchasers, including the University of Duesseldorf, Germany, in connection with a project to establish a tuna farm in Egypt for the breeding, hatching, and raising of tuna fish in wild cages.
   
   
7. MAK advised and represented a Saudi company on a sale and purchase agreement for the acquisition of 40% of the share capital of a Saudi fashion company by multiple purchasers.
   
   
8. MAK advised and managed a complex mergers and acquisitions transaction, providing comprehensive legal services, including the meticulous drafting and review of the Shareholder Agreement for the Bin Laden aircraft deal.

MAK advised a foreign prospective investor in the “Al-Shobily project,” a mega project recognized by MISA, by providing comprehensive legal due diligence on Saudi regulations and the legal framework. This included advising on Saudi laws governing private development and ownership of utilities and infrastructure projects, land/property acquisition, leasing laws, taxation, and the formation of legal entities through joint venture agreements. The project is set to attract an investment of SAR 60 billion. Additionally, Mr. Sharif, the founding partner of MAK, played a key role in the first-ever IPO for the National Commercial Bank in Saudi Arabia and in one of the initial IPOs under the new Saudi Capital Markets Law and Listing Rules, alongside Clifford Chance, for SADAFCO.
